I am thinking of upgrading from windows xp pro sp2 to windows xp pro 64 bit corporate edition. Can I just install over the windows I have just now or will it delete all my settings etc?

If you have the upgrade version, then you need to install over the existing version. If you have the FULL version, then the FULL version prefers to be installed from scratch. To install over the existing version, you may have unexpected complications down the road. For a full version installation, I would recommend starting from scratch. Backup/Save your favorites list and your email files and all you personal data to a different drive or CD.

But, to answer your question, I believe what you want to do is possible. Just be careful which install option you choose. If you choose to Windows should save your old version in the event you decide to return to your previous version.
