Default XP not shutting down due to program issue

My PC will not shut down completely. It started when I tore my PC apart to re-route and clean up the wire mess I had. When I put it all back to gather, a program by the name of Z Engine for my ZBoard keyboard was having issues and not recognizing a gaming keyset. I decided to remove the program to re-install a newer version of the drivers and have created this issue. I have not been able to boot into safe mode. OS is MCE 2002 sp2. I did try the the UPH cleanup and when installing, it gave me a message about the ZBoard un-install.

Hi cr2jones,

not sure what could be causing this - but lets start by ruling out malware.
Can you please follow the prework link in my signiture and post the resulting logs?

Thanks for the quick reply. I do follow the guides on this site and currently use AVG. I will run ATF and hi-jack this. One question, I can not get into safemode. I am going to run AVG as I would normally.

When I get the Windows startup i hit f8 and nothing happens. I have tried MSCONFIG in both Diagonostic and selective modes and it does not help. I ran ATF, AVG and HIJACKTHIS. here is the hijack this log. I tried uploaded the hijack this log with IE7 and it worked.
