Default Svchost problem or Memory Problem

I have a Dell 8300 running XP SP2 with Norton Anti virus, Kerio Personal firewall and Counter Spy. I have been getting two errors which either together or not lead to the PC freezing up. The first message is "The instruction at 0x745f2780 referenced memory at "0x00000000". The memory could not be read" This is usually followed within a second or two by " Generic Host Processes for Win32 Services ha encountered a problem and must shut down." I tried RegCure but that did not solve the problem. What is wrong and how can I fix it? Help!!

Hello reillytj
Can you follow the instructions in this link, and post the dump files it asks for? One of the tech team will take a look at them for you and help you sort this out.

I will try to get you the requested dump but in the meantime, I received a suggestion to turn off Windows Automatic Updates, apply updates manually, reboot and turn on the automatic updates. I did this and until I turned on the upates again, the errors did not appear. Once I did, went to shut down and the XP started installing updates. I received the "The instruction at 0x745f2780 referenced memory at "0x00000000" error and the updates seemed to stop progress (no disk activity). So, I powered off the PC and started up again. I tried to do the updates by clicking on the Microsoft update shield icon, got the Win32 services error again and I had to start again. I am working now with automatic updates turned off. I will admit that in the past when XP has been attempting to install updates on shut down, if it seems to hang (or take a while), I have powered off the machine. Have I screwed something up in the update process?

Please see my reply about 25 minutes before this note. I was installing some Windows updates manually and a blue screen came up. Here is the dump.

The computer has rebooted from a bugcheck. The bugcheck was: 0x000000d1 (0x006e007b, 0x00000002, 0x00000000, 0xaef1f703). A dump was saved in: C:\WINDOWS\MEMORY.DMP.
