If the Stop message mentions the file Win32k.sys, the source of the error might be a third-party "remote control" program. If such software is installed, you might be able to disable it by starting the system in safe mode. If not, use Recovery Console to manually delete the system service file that is causing the problem.
Do you have any 3rd party remote control software running or installed?

Have you updated to service pack 2 yet ?

Check out this microsoft site, explains the error code.

It could also be caused by faulty RAM, do you have any extra memory that you would be able to swap with to make sure.

Guys,

I think you're getting ahead of yourselves a little bit. Fatherryan can't even get XP to load. I would be curious to know if he is recently upgrading, if so from what? Also, was XP working before, and then something happened, or did this occur when he tried to install XP?

Fatherryan, when I upgraded my PC from ME ( :-P bleah) to XP I had a similar experience. My computer it seemed did not want to upgrade. During formating, XP wanted to change the file type and my PC couldn't handle it. There are definitely work arounds, why don't we start at the beginning and you can post the answers to my questions, that way we know what were dealing with.

:-) I am sure the folks here can help.
