You won't be able to get 4GB of the RAM unless you have 4 RAM slots and a 64-bit version of Windows. Otherwise, it's just fine.

I'm currently running windows vista home premium oem 32 bit. Does that mean an athlon 64 processor wont work (I'm currently using AMD Athlon 64 3500+) ?

The 64-bit processor will work but it won't take advantage of all 4GB RAM without a 64-bit operating system. The limit is 4GB, but in all reality the system will only recognize and use about 3.5GB out of that.

Okaydokey, sounds good. I'll plump for the 4gb of memory (future investment) and the athlon 64 x2 4200.
